Univs Marketplace Terms

These Marketplace Terms apply when you buy or sell services on the Univs Marketplace. They form part of, and are read together with, the Univs Terms and Conditions (https://univs.com/terms/) (the "General Terms"), the Privacy Policy and the Cookie Policy. If these Marketplace Terms conflict with the General Terms on a Marketplace matter, these Marketplace Terms prevail.

Buyer summary: the key points

This short summary is for convenience only. The full terms below apply.

  • Who you buy from. Services on the Marketplace are provided by independent Sellers (agencies and freelancers), not by Univs. Univs runs the platform, collects payment on the Seller's behalf and handles disputes.
  • What you pay. Prices are in US dollars. At checkout you pay:
    • the listing price;
    • a 5% Univs service fee;
    • a 2% transaction fee on the listing price plus the service fee and any small-order fee;
    • a US$5.00 small-order fee if the order is under US$200.

    You see the full total before you pay.

  • Delivery. When the Seller marks your order as delivered, you have 3 days to do one of three things:
    • accept the delivery;
    • request changes, which you can do once;
    • open a dispute.

    If you do nothing, the order completes automatically.

  • Cancellations. If an order is cancelled, you get 100% back, including all buyer fees, as Univs Wallet credit. You can instead ask for a card refund. The order amount then goes back to your card, and the service fee, transaction fee and small-order fee stay in your Wallet.
  • Wallet credit expiry. Wallet credit is valid for 6 months.
  • Keep everything on Univs. Do not share phone numbers, emails or social handles, and never pay a Seller outside Univs. If you do, you lose Univs protection. The only exception is in-person services (for example, an airport pickup). For those, contact details may be shared after the order is placed so the service can happen.
  • Problems. Use the dispute option on your order page and Univs support will review it. Please do not file a chargeback with your bank before contacting us.
  • Reviews. Only buyers with completed orders can leave reviews. Reviews must be honest.
  • No guarantees of outcomes. No Seller can guarantee an admission, a visa or a residence permit. Report any Seller who promises one.

1. General

1.1 About these terms. The Univs Marketplace (the "Marketplace") is part of the Platform operated by Univs LLC, trading as Univs.com ("Univs", "we", "us"). On the Marketplace, independent Sellers offer student-related services to Buyers. By browsing, ordering, listing or selling on the Marketplace, you agree to these Marketplace Terms.

1.2 Univs's role. Univs provides the technology, the payment collection, the order tools, and the support and dispute process. Univs is not the provider of the services listed by Sellers. The contract for each service is between the Buyer and the Seller. Univs is not a party to it, except:

  • as the Seller's limited payment collection agent (clause 7.1); and
  • where these Marketplace Terms give Univs a specific role, such as resolving disputes.

1.3 Sellers are independent. Sellers are not employees, agents, partners or representatives of Univs. A Seller's listing, badge or promoted placement is not an endorsement or guarantee by Univs.

1.4 No outcome guarantees. Admission, visa, residence, accommodation and other outcomes are decided by third parties, such as universities, landlords and government authorities. NEITHER UNIVS NOR ANY SELLER CAN GUARANTEE ANY SUCH OUTCOME. This is in line with Section 11 of the General Terms.

1.5 Accounts. You need a Univs Account to buy or sell. Sections 4 and 5 of the General Terms apply. You may operate only one Buyer account and one Seller account unless Univs agrees otherwise in writing.

2. Definitions

In these Marketplace Terms, capitalised words have the meanings below. Words defined in the General Terms keep those meanings.

  • Buyer: a user who places, or intends to place, an Order. This includes a student, or a parent or guardian ordering for a student.
  • Seller: a user approved by Univs to offer services on the Marketplace, either as a Company Seller (a registered business, such as an agency) or a Freelancer Seller (an individual).
  • Listing: a Seller's description of a service at one fixed price.
  • Custom Offer: a tailored offer that a Seller sends to a specific Buyer through the Platform.
  • Order: a purchase of a Listing or Custom Offer.
  • Order Page: the page within the Platform where the Order's details, messages, files and delivery are kept.
  • Order Amount: the price of the Listing or Custom Offer, excluding the Service Fee, Buyer Transaction Fee, Small-Order Fee and taxes.
  • Service Fee: the Univs fee paid by the Buyer: 5% of the Order Amount.
  • Small-Order Fee: an additional US$5.00 paid by the Buyer on any Order or payment with an Order Amount below US$200.
  • Buyer Transaction Fee: 2% of the Order Amount plus Service Fee and any Small-Order Fee, added at checkout.
  • Seller Transaction Fee: 2% of the Order Amount, deducted from Seller Earnings in addition to Commission.
  • Commission: the Univs fee paid by the Seller: 10% of the Order Amount, deducted from the Seller's Earnings.
  • Earnings: the Order Amount less the Commission, Seller Transaction Fee and any other amounts these terms allow Univs to deduct.
  • Clearance Period: the 30 days after an Order is completed, during which Earnings are pending.
  • Delivery: the Seller marking an Order as delivered on the Order Page.
  • Change Request: a Buyer's one-time request for changes after Delivery.
  • Wallet: the Buyer's Univs Wallet, which holds Wallet Credit that can be used on the Platform.
  • Dispute: a case opened in the Marketplace dispute area of the Order Page.
  • Chargeback: a reversal of a payment requested by the payer through their bank, card issuer or payment provider.
  • Promoted Listing: a Listing given paid, labelled placement on the Marketplace.
  • In-Person Service: a service that by its nature needs the Seller and Buyer to meet or coordinate physically, such as an airport pickup, a property viewing or accompanying a Buyer to an appointment.

PART A: BUYERS

3. Buying on the Marketplace

3.1 Eligibility. To place an Order you must be:

  • at least 18 years old; or
  • under 18 with a parent or legal guardian who places, or approves, the Order and accepts these terms on your behalf.

3.2 Choosing a service. Each Listing has one fixed price and describes:

  • what is included;
  • the expected delivery time; and
  • what information or documents the Seller needs.

Read the Listing carefully before you order. A Seller may also send you a Custom Offer. Custom Offers carry the same fees, protections and rules as Listings.

3.3 Placing an Order. An Order is placed when you complete payment. The Seller may need information from you, called "requirements", before starting. The delivery time runs from when you submit the requirements, unless the Listing says otherwise. Delays in providing requirements may delay delivery.

3.4 Accuracy of what you provide. You must give the Seller accurate, complete and genuine information and documents. You must never ask a Seller to create, alter or misrepresent any document. See clause 8.4.

4. Payments and fees

4.1 Currency. All prices, fees and Wallet balances are in US dollars (USD). If your card or payment method uses another currency, your bank or payment provider may apply its own exchange rate or fees. Univs does not control these.

4.2 What you pay. For each Order you pay the Order Amount plus the Service Fee (5%) and Buyer Transaction Fee (2%), plus the Small-Order Fee (US$5.00) if the Order Amount is under US$200. Any taxes are added where required by law (see section 15). The Buyer Transaction Fee is calculated on the Order Amount plus Service Fee and any Small-Order Fee. The total is shown before you confirm payment.

Example: a US$100 Order costs US$100 + US$5.00 Service Fee + US$2.20 Buyer Transaction Fee + US$5.00 Small-Order Fee = US$112.20.

A US$250 Order costs US$250 + US$12.50 Service Fee + US$5.25 Buyer Transaction Fee = US$267.75.

4.3 Separate payments. Each additional payment linked to an Order (for example an extra or an accepted Custom Offer) is treated as its own transaction. The Service Fee, Buyer Transaction Fee and, where applicable, the Small-Order Fee apply to it.

4.4 How payment works. Payments are processed through pay.univs.com and Univs's payment processors, in line with Section 9 of the General Terms. When you pay Univs for an Order, Univs receives the payment as the Seller's limited payment collection agent (clause 7.1). Your payment to Univs counts as payment to the Seller. Once you have paid Univs, the Seller may not ask you for any further payment for that Order.

4.5 Paying with Wallet Credit. Available Wallet Credit may be applied at checkout. Any balance is charged to your payment method.

4.6 Purpose of fees. The Service Fee covers the Platform, Buyer protection and support. Transaction Fees cover payment handling and are platform charges, not a representation of the card processor’s exact cost. It is refundable only as set out in section 5.

5. Delivery, acceptance, changes and cancellations

5.1 Delivery. The Seller must deliver the service, or confirm completion of an In-Person Service, by the agreed delivery date and mark the Order as delivered on the Order Page. Delivery files and proof of completion must be shared on the Order Page.

5.2 Your 3-day review window. After Delivery you have 3 days to do one of the following:

  • accept the Delivery;
  • request changes (clause 5.3); or
  • open a Dispute (section 13).

IF YOU TAKE NONE OF THESE ACTIONS WITHIN 3 DAYS, THE ORDER IS AUTOMATICALLY MARKED AS COMPLETE.

5.3 Requesting changes, once. You may make one Change Request per Order. It must explain clearly what does not match the Listing, Custom Offer or agreed requirements. The Seller then redelivers.

After the redelivery:

  • you again have 3 days to accept it or open a Dispute;
  • if you do neither, the Order completes automatically;
  • you cannot make a second Change Request.

A Change Request cannot be used to add work that was not part of the original Order. New work needs a new Order or a Custom Offer.

5.4 Completion. An Order is complete when you accept it, when it completes automatically, or when Univs closes it after a Dispute. A completed Order cannot be cancelled, except through a Dispute raised in time under clause 13.3.

5.5 Cancellation by agreement. Before completion, either party may ask to cancel through the Order Page. The other party has 48 hours to accept or decline. If the Seller does not respond to a Buyer's cancellation request within 48 hours, the Order is cancelled.

5.6 Cancellation for late delivery. If the Seller has not delivered 48 hours after the latest buyer-approved delivery date, and no extension has been agreed on the Order Page, you may cancel the Order without the Seller's approval. Only the Buyer may approve a Seller’s requested extension on the Order Page; silence does not count as approval. An approved extension replaces the delivery deadline for both cancellation timers. An extension request alone does not pause a timer. Orders not delivered within 14 days after the latest buyer-approved delivery date are cancelled automatically.

5.7 Other cancellations. Univs may cancel an Order:

  • after a Dispute;
  • if the Seller cancels or cannot perform;
  • if the Order breaches these terms; or
  • for fraud, security or legal reasons.

5.8 Refunds on cancellation: Wallet by default. When an Order is cancelled in full, 100% of what you paid (the Order Amount, Service Fee, Buyer Transaction Fee and Small-Order Fee) is credited to your Wallet by default. It is available straight away for future Orders.

5.9 Refund to your card on request. Instead of keeping Wallet Credit, you may request a refund to your original payment method within 60 days of the cancellation, provided the credit is unused. If you do:

  • the Order Amount is refunded to your original payment method; and
  • the Service Fee, Buyer Transaction Fee and Small-Order Fee remain in your Wallet as Wallet Credit.

Refunds can only go to the original payment method. Your bank may take up to 10 business days to show the refund. To prevent fraud, Univs may review card refund requests and limit how often they are made.

5.10 Partial refunds. If a Dispute ends in a partial refund:

  • the refunded share of the Order Amount and the matching shares of the Service Fee and Buyer Transaction Fee are credited to your Wallet (or, on request, to your card, under clause 5.9);
  • the Small-Order Fee is refunded only when the Order is refunded in full.

5.11 Seller-specific terms. A Seller may not set refund or cancellation terms that give you fewer rights than these Marketplace Terms.

6. Univs Wallet

6.1 What Wallet Credit is. Wallet Credit is a balance you can use for Orders and other purchases on the Platform. It is not a bank account or deposit, earns no interest, and cannot be withdrawn as cash or transferred to another user. The only exception is a card refund under clause 5.9.

6.2 How credit is added. Wallet Credit may come from:

  • cancellations and refunds;
  • the Service Fee, Buyer Transaction Fee and Small-Order Fee retained under clause 5.9;
  • goodwill credits; or
  • promotions.

Promotional or goodwill credit may carry extra conditions, which will be shown when it is given.

6.3 Six-month validity. Each amount of Wallet Credit is valid for 6 months from the date it is added to your Wallet. When you spend credit, the oldest credit is used first. Credit not used within 6 months expires and is removed from your Wallet. Univs will try to remind you before credit expires. Where applicable law gives you more rights, those rights apply.

6.4 Order paid with Wallet Credit then cancelled. The credit is returned to your Wallet with its original expiry date. Univs may, at its discretion, extend the expiry date.

6.5 Errors and misuse. Univs may correct Wallet balances credited in error. Univs may freeze or remove Wallet Credit obtained through fraud, abuse or a breach of these terms.

PART B: SELLERS

7. Becoming a Seller

7.1 Univs as your payment collection agent. By becoming a Seller, you appoint Univs as your limited authorised payment collection agent. This appointment is solely for:

  • accepting payments from Buyers for your Orders, through Univs's payment processors;
  • holding those funds; and
  • paying your Earnings to you under these terms.

A Buyer's payment to Univs settles the Buyer's payment obligation to you for that Order. Univs is not a bank or a payment services provider. Univs uses licensed processors to move and hold funds.

7.2 Eligibility. To sell you must:

  • be at least 18;
  • have full legal capacity; and
  • be approved by Univs.

You may apply as:

  • a Company Seller. Provide your registered business name, registration or trade licence, registered address, tax number where applicable, and the identity of an authorised representative who can bind the business.
  • a Freelancer Seller. Provide your full legal name, government-issued photo ID, proof of address, and any qualifications relevant to your services.

7.3 Verification. Univs may verify your identity, business, qualifications and licences, and may repeat checks at any time. You must keep your details current. Univs may refuse, limit or withdraw Seller approval at its discretion, including where verification cannot be completed.

7.4 Service licences and insurance. Univs does not require individual or freelance Sellers to upload service licence or insurance proof as a general onboarding condition. Company Sellers must provide their company registration or trade licence documents. This does not remove any legal obligation to hold a licence or insurance for a service. Regulated services. Some services are regulated in some countries. Examples are immigration or visa advice, legal advice, financial advice, certified or sworn translation, and passenger transport. If you offer a regulated service, you must hold, and on request show, any licence, registration or accreditation required where the service is provided or where the Buyer is located. You must state it accurately in your Listing.

7.5 Your team. A Company Seller is responsible for everyone who performs services on its behalf, including:

  • making sure they are suitably qualified, vetted and lawfully engaged; and
  • making sure they follow these terms.

8. Listings, prohibited services and Orders

8.1 One fixed price. Each Listing must show one fixed price in USD and clearly describe:

  • what is and is not included;
  • the delivery time;
  • the location(s) served (for In-Person Services); and
  • what the Buyer must provide.

You may send Custom Offers to Buyers through the Platform. Custom Offers are subject to the same fees and rules.

8.2 Accuracy. Listings, profiles, portfolios and credentials must be true, current and your own. You must not:

  • misrepresent your qualifications, affiliations, partnerships or success rates;
  • imply an affiliation with a university or government body that you do not have; or
  • use another person's work samples.

8.3 Univs review. Univs may review, edit for formatting, reject, hide or remove any Listing at its discretion.

8.4 Prohibited services. You must not offer, and Buyers must not request, any of the following:

  • a guarantee of admission, a scholarship, a visa, a residence permit or any other decision made by a third party;
  • forging, altering or fabricating any document, including transcripts, diplomas, certificates, bank statements, employment letters, sponsorship letters, references, IDs or translations that do not faithfully reflect the original;
  • creating misleading financial evidence, including "show money", temporary deposits made to inflate balances, or loans arranged only to satisfy visa or admission requirements;
  • academic dishonesty: taking exams, tests or interviews for someone, writing theses, dissertations, assignments or application essays to be submitted as the Buyer's own work, or impersonation;
  • regulated advice or services (legal, immigration, financial or tax) without the required licence or accreditation;
  • bypassing a university's, embassy's or government's official process, including selling appointment slots or "priority" access you do not legitimately control;
  • anything illegal where the Seller or Buyer is located, or anything that facilitates fraud, trafficking, exploitation or discrimination;
  • accommodation, transport or other services you are not entitled or licensed to provide;
  • services designed to manipulate reviews or rankings on Univs or elsewhere.

Proofreading, feedback and coaching that leave the work the Buyer's own are permitted, provided they follow the relevant institution's rules.

8.5 Accepting and performing Orders. You must:

  • perform each Order personally (or, for a Company Seller, through your team) with reasonable skill and care, as described in the Listing or Custom Offer;
  • respond to Buyers promptly;
  • deliver on time;
  • upload deliverables and proof of completion to the Order Page;
  • not mark an Order as delivered unless the work is actually complete.

Empty, partial or placeholder deliveries made to avoid lateness are prohibited.

8.6 Change Requests. You must address a valid Change Request (clause 5.3) within a reasonable time, and in any case within the original delivery time unless the Buyer agrees otherwise on the Order Page.

8.7 Cancellations by Sellers. If you cannot complete an Order, request a cancellation through the Order Page promptly. Repeated cancellations, late deliveries or unresolved Disputes may affect your visibility, badges and Seller status.

9. Fees, Earnings, clearance and withdrawals

9.1 Commission. Univs deducts a Commission of 10% of the Order Amount and a Seller Transaction Fee of 2% of the Order Amount from each completed Order: 12% in total, calculated on the service price. The Buyer's Service Fee, Buyer Transaction Fee and Small-Order Fee belong to Univs and do not form part of your Earnings.

Example: on a US$100 Order, your Earnings are US$88 (US$100 less US$10 Commission and US$2 Seller Transaction Fee).

9.2 When Earnings are credited. Earnings are credited to your Seller balance as pending when the Order is completed.

9.3 30-day clearance. Earnings become available for withdrawal 30 days after the Order is completed. Univs may extend clearance for a specific Order or account where there is an open Dispute, Chargeback, investigation or suspected breach.

9.4 Promoted Listings. You may buy Promoted Listing placements on a weekly or monthly basis at the price shown when you buy.

  • Promoted Listings are clearly labelled "Sponsored".
  • Promotion improves visibility only. It does not guarantee views, clicks, Orders or ranking position.
  • Univs may decline, pause or end a promotion if the Listing breaches these terms, or for operational reasons.
  • Promotion fees are non-refundable. The only exception: if Univs removes a promoted Listing without fault on your part, Univs gives you a pro-rata credit for the unused period.
  • Promotion fees may be paid by card or deducted from your available Earnings.

9.5 Earnings statements. Univs gives you an earnings statement on your Seller dashboard. It shows, for each period:

  • Order Amounts, Commission and Seller Transaction Fees;
  • refunds and adjustments;
  • promotion fees;
  • withdrawals; and
  • transfer fees.

9.6 Withdrawals. You may request a withdrawal of available Earnings when your available balance is at least US$100. Withdrawals are paid only to a payout account in the verified name of the Seller (or, for a Company Seller, the business).

9.7 Staff approval. Each withdrawal is reviewed and approved by Univs staff before payment. Univs may request extra information before approving, for example to complete identity, tax, sanctions or anti-fraud checks. Univs may delay or decline a withdrawal while those checks are outstanding.

9.8 Transfer fees. You pay all transfer costs. These include bank, intermediary, payout-provider and currency-conversion charges. Univs deducts them from the amount paid out, or shows them on your statement.

9.9 Timing and proof. Univs aims to review and approve withdrawal requests within 10 business days of the request. Payout methods currently include bank transfer, Wise and PayPal, paid in USD. Available methods may be changed in Marketplace Settings; the available options are shown when requesting a withdrawal. Receipt also depends on your bank or payout provider. Univs may share proof of payment with you, such as a transfer confirmation or reference.

9.10 Deductions and set-off. Univs may deduct from your pending or available Earnings, or from future Earnings:

  • refunds ordered after a Dispute;
  • Chargebacks and related costs under section 14;
  • promotion fees you have chosen to pay from Earnings;
  • amounts paid to you in error; and
  • any other amounts you owe Univs under these terms.

If your balance is negative, you must repay it on request. Univs may recover it by any lawful means.

9.11 Holds after closure or suspension. If your account is suspended or closed, Univs may hold your Earnings for up to 180 days to cover Disputes, Chargebacks and refunds. Univs then releases the remaining balance, less any amounts owed. Earnings obtained by fraud or through a serious breach of these terms may be withheld as permitted by law.

10. Badges, rankings and visibility

Univs may show verification badges, performance indicators or other labels, and may rank Listings in search. Rankings may use factors such as:

  • relevance;
  • Buyer location and service area;
  • ratings;
  • response and delivery performance;
  • Dispute history;
  • verification status; and
  • Promoted Listing status.

Univs may change these factors, badges and criteria at any time. A badge reflects only what it states (for example, "identity verified") and is not a recommendation or guarantee.

PART C: RULES FOR EVERYONE

11. Reviews

11.1 Who can review. Only the Buyer of a completed Order may leave a public review (a rating and comment) of that Order. Each Order may have only one review.

11.2 Timing. Reviews may be left within 14 days after the Order is completed.

11.3 Seller replies. The Seller may post one public reply to each review. Replies must be professional and must not disclose the Buyer's personal information or private Order details.

11.4 No removal by Sellers. Sellers cannot edit, hide or remove reviews. Univs removes a review only if it breaches these terms or the review guidelines in Section 7.3 of the General Terms. Examples include reviews that:

  • contain personal or contact details, abuse or discrimination;
  • are not related to the Order; or
  • result from manipulation.

11.5 Review manipulation is prohibited. You must not:

  • offer money, discounts, extra work, refunds or anything else in exchange for a review, or for changing or removing one;
  • make delivery, files, refunds or support depend on a particular rating;
  • pressure, threaten or guilt-trip a Buyer about their review;
  • place, or arrange, fake or self-dealing Orders to generate reviews;
  • review your own services, or a competitor's, through any account.

Violations may lead to the removal of reviews, loss of badges, and suspension or permanent termination of all related accounts.

12. Communication and off-platform conduct

12.1 Keep it on Univs. All communication about Marketplace services, before and during an Order, must take place through the Platform's messaging and the Order Page. All payments for Marketplace services must go through Univs.

12.2 What is prohibited. Unless clause 12.3 applies, you must not:

  • share or request phone numbers, email addresses, messaging-app or social-media handles, or external links for contact;
  • suggest or accept payment outside Univs, including bank transfer, cash, cryptocurrency or third-party payment links;
  • invite a Buyer or Seller to contract or continue the relationship off the Platform; or
  • use the Marketplace to find clients and then avoid Univs fees.

12.3 Exception for In-Person Services. After an Order for an In-Person Service has been placed and paid, the Buyer and Seller may exchange the contact details reasonably needed to carry out that service. For example, a driver's phone number for an airport pickup, or a meeting point. Even then:

  • all payments must still go through Univs;
  • any change to the scope, price or timing must be recorded on the Order Page; and
  • you should keep key communications on the Order Page so they can be reviewed in a Dispute.

12.4 Message review. To protect users and resolve problems, Univs may automatically scan messages, and authorised Univs staff may read them, including attachments. Univs does this:

  • to detect off-platform contact, fraud, prohibited services or safety risks; and
  • to investigate reports and Disputes.

Univs handles this information under its Privacy Policy. Messages may be blocked or redacted if they appear to breach this section.

12.5 Consequences. Breaching this section may lead to:

  • message redaction;
  • a warning;
  • loss of Univs protection for the affected transaction;
  • withheld Earnings for that transaction; and
  • suspension or permanent termination of the account.

UNIVS CANNOT PROTECT, REFUND OR SUPPORT ANY PAYMENT OR ARRANGEMENT MADE OUTSIDE THE PLATFORM.

12.6 Avoided commission. Confirmed off-platform deals may result in suspension and recovery of the Univs seller commission avoided on the confirmed transaction. Recovery is based on the transaction amount and the applicable seller commission rate, with evidence, notice and an opportunity to appeal under clause 17.4. Univs does not impose an unspecified fixed fine.

12.7 Respect and safety. You must not harass, threaten, discriminate against, defraud or exploit any user. For In-Person Services, both parties should meet in safe, public or agreed locations and follow local law. Contact the local authorities in an emergency, then report the incident to Univs.

12.8 Reporting. You can report a Listing, message, review or user to Univs through the reporting tools or at trust@univs.com. Univs reviews reports and may take any action under section 17. Reporting tools are for policy concerns. Problems with an Order should be raised through a Dispute (section 13). Knowingly false or repeated bad-faith reports are a breach of these terms.

13. Disputes and Univs resolution

13.1 Talk first. If something goes wrong with an Order, first try to resolve it with the other party on the Order Page.

13.2 Opening a Dispute. If you cannot agree, either party may open a Dispute in the Marketplace dispute area of the Order Page. Explain the issue and attach evidence. While a Dispute is open, the Order cannot auto-complete and the related funds are held.

13.3 Timing. You may open a Dispute:

  • while an Order is in progress;
  • during the 3-day review window after Delivery; or
  • for a completed Order, within 14 days of completion, but only where the issue could not reasonably have been discovered earlier, or involves fraud or a breach of section 8.4 or section 12.

13.4 How Univs decides. Univs support reviews:

  • the Listing or Custom Offer;
  • the Order Page messages and files;
  • delivery evidence; and
  • anything else the parties provide.

Univs may ask either party for more information and set a deadline for replies. Univs then decides on one or more of the following:

  • the Order stands and is completed;
  • the Seller redelivers or completes the service by a set date;
  • a partial refund;
  • a full cancellation and refund;
  • another fair outcome.

13.5 Effect of Univs decisions. For Marketplace Orders, Univs acts as the decision-maker on how Order funds held on the Platform are released or refunded. This applies notwithstanding Section 16.2 of the General Terms. Both parties agree to follow the decision on the Platform.

  • Univs's decision is final for the purposes of the Platform.
  • It does not stop either party from pursuing other legal rights against the other party under the governing law in Section 16.3 of the General Terms.
  • Univs is not liable for the outcome of a decision made in good faith.

13.6 Dispute deduction. Each Marketplace order Dispute incurs a flat US$25 deduction from the Seller’s earnings, separate from refunds and any processor chargeback fee. The deduction appears on the earnings statement.

13.7 Fair use. Opening Disputes in bad faith, misusing the dispute process to obtain free work, or ignoring Univs requests may lead to a decision against you and to action on your account.

14. Chargebacks

14.1 Use Disputes first. Buyers agree to raise any problem with an Order through a Dispute before contacting their bank or card issuer.

14.2 Effects on Buyers. If a Buyer files a Chargeback, Univs may:

  • cancel the related Order;
  • restrict the Buyer's account and Wallet while the Chargeback is open; and
  • contest the Chargeback with evidence.

If the Chargeback is decided in Univs's favour, Univs may recover the amount owed from the Buyer. Filing a Chargeback for an Order that was delivered as described, or filing more than one unjustified Chargeback, is a breach of these terms and may lead to suspension or termination.

14.3 Effects on Sellers. If a Chargeback relates to the service (for example, non-delivery or a service not as described), Univs may recover the Order Amount from the Seller's pending, available or future Earnings, or by invoice. Univs may also recover any processor dispute fee. If the Chargeback is for an unauthorised payment and you delivered as described, Univs may, at its discretion, choose not to recover the amount from you. This is not guaranteed.

14.4 Restrictions while open. Univs may hold Earnings and pause withdrawals on any account linked to an open Chargeback until it is resolved.

15. Invoices and taxes

15.1 Buyer invoices. For each payment, Univs issues the Buyer an invoice showing:

  • the Order Amount (collected as payment collection agent for the Seller);
  • the Service Fee, Buyer Transaction Fee and any Small-Order Fee; and
  • any taxes.

For each cancellation or refund, Univs issues a credit invoice. Invoices and credit invoices are available in your account. To have your tax details shown, add them to your billing information before paying.

15.2 Seller earnings statements. Sellers receive earnings statements under clause 9.5. They show the Commission and other Univs charges deducted from Order Amounts. Univs does not issue invoices to Buyers in the Seller's own name. If you need to issue invoices for your own tax purposes, you are responsible for doing so correctly.

15.3 Taxes. Prices are exclusive of taxes unless stated. Univs may add and collect sales tax, VAT, GST or similar taxes on its fees, or on Orders, where the law requires. Sellers are solely responsible for:

  • registering, reporting and paying all taxes on their Earnings and services; and
  • any licences or registrations needed to do business.

Univs may ask Sellers for tax information and may withhold or report amounts where required by law. Taxes charged on a payment may be refunded only as the law allows.

16. Intellectual property, documents and data

16.1 Deliverables. Unless the Listing or Custom Offer clearly says otherwise, once the Order is fully paid and completed:

  • the Buyer receives the right to use the deliverables for their own personal, educational, immigration or administrative purposes;
  • where the deliverable is a custom written work made for the Buyer (for example, a translation or a document checklist), ownership of that work transfers to the Buyer.

The Seller keeps ownership of its pre-existing materials, templates and know-how, and grants the Buyer the licence needed to use the deliverable. If payment is reversed or refunded, the Buyer may not use the deliverable.

16.2 Seller warranties. Sellers confirm that their deliverables:

  • are original or properly licensed;
  • do not infringe anyone's rights; and
  • for translations, faithfully reflect the source document.

Official documents issued by third parties (for example a visa, a university letter or a certificate) belong to their issuers and owners, not to the Seller.

16.3 Sellers see only what the Buyer shares. A Seller can access only the information and documents that the Buyer uploads to, or writes on, the Order Page for that Order. Sellers cannot see a Buyer's wider Univs profile, applications or documents unless the Buyer shares them on the Order Page.

16.4 Buyers: share only what is needed. Upload only the documents the Seller needs for the Order. Where possible, hide data that is not needed, such as unrelated pages or numbers.

16.5 Seller data obligations. Each Seller is responsible, as an independent controller, for the personal data it receives through an Order. Sellers must:

  • use Buyer information and documents only to perform that Order;
  • keep them confidential and secure;
  • not copy them outside the Platform except as strictly needed to perform the service (for example, submitting a form to an official body at the Buyer's request);
  • not sell, share or reuse them for marketing;
  • delete copies held outside the Platform when the Order is complete, unless the law requires longer retention;
  • comply with applicable data protection laws; and
  • notify Univs at trust@univs.com within 48 hours of becoming aware of any loss or unauthorised access.

16.6 Univs's use. Univs processes Marketplace data, including Order Page messages and files, in line with its Privacy Policy and Section 14 of the General Terms. Section 7 of the General Terms applies to content you post on the Marketplace, including Listings and reviews.

17. Suspension and termination

17.1 Grounds. In addition to Section 15 of the General Terms, Univs may take any of the following actions, with or without prior notice:

  • remove content;
  • hide Listings;
  • cancel Orders;
  • hold funds;
  • limit features;
  • restrict, suspend or terminate an account.

Univs may do so where it reasonably believes a user has:

  • breached these Marketplace Terms;
  • offered or requested a prohibited service;
  • dealt off the Platform;
  • manipulated reviews;
  • committed fraud or filed unjustified Chargebacks;
  • failed verification;
  • created risk for other users or Univs; or
  • where the law requires.

17.2 Proportionate action. Univs will consider the seriousness and history of a breach. Serious breaches may lead to immediate permanent termination of all related accounts. Examples include fraud, forged documents, safety threats, and repeated off-platform dealing.

17.3 Open Orders. On suspension or termination, Univs may:

  • let a Seller complete open Orders; or
  • cancel them and refund Buyers under section 5.

Seller Earnings are handled under clause 9.11.

17.4 Appeals. You may appeal an enforcement decision by emailing trust@univs.com within 30 days of the notice, explaining why you believe the decision was wrong.

17.5 Leaving. You may stop using the Marketplace at any time. Open Orders, Disputes, Chargebacks, Wallet rules and the obligations in sections 9, 13 to 16 and 18 survive.

18. Liability

18.1 Seller services. Sellers are solely responsible for their Listings, services, deliverables and conduct, and for meeting legal requirements. To the extent permitted by law, Univs is not liable for:

  • the quality, safety, legality or timeliness of any Seller's service; or
  • any decision made by a university, landlord, embassy, government authority or other third party.

18.2 General Terms apply. Sections 11 (Disclaimers) and 12 (Limitation of Liability and Indemnification) of the General Terms apply to the Marketplace. Sellers agree to indemnify Univs against claims, losses and costs arising from:

  • their services or Listings;
  • their breach of these terms or the law; or
  • their handling of Buyer data.

18.3 Nothing excludes non-excludable rights. Nothing in these Marketplace Terms limits any right or liability that cannot be limited or excluded under applicable law.

19. Changes to these Marketplace Terms

19.1 Univs may update these Marketplace Terms and the Marketplace fees. The updated terms will be published with a new "Last Updated" date.

19.2 Notice periods. Univs will give at least 14 days' notice, by email or Platform notification, of:

  • an increase in the Service Fee, Transaction Fees, Small-Order Fee or Commission; and
  • any material change that reduces your rights.

Changes needed for legal, security or fraud-prevention reasons may take effect immediately.

19.3 Each Order is governed by the Marketplace Terms in force when it was placed.

19.4 If you do not agree with a change, stop using the Marketplace before it takes effect. Continued use after that means you accept the change.
